2. Purpose of the Terms and Conditions


These Terms and Conditions (T&Cs) govern the use of the OpenUp service, which allows the creation of smart links (deep links), short links, QR codes, and link in bio pages that redirect to mobile applications or native browsers. By accessing the platform, creating an account, or using any OpenUp service, you agree to these T&Cs in their entirety. If you do not agree with any part of these T&Cs, you must not use the service.


3. Description of services


OpenUp offers a freemium SaaS solution with several subscription levels:


Free: $0 for life

Plus: $11.99/month or $107.88/year

Pro: $29.99/month or $287.88/year

Premium: $82.99/month or $779.88/year


The exact features included in each plan are described on the Pricing page.


OpenUp reserves the right to modify, add, or remove features from any plan at any time, subject to advance notice to active subscribers as described in Section 17.


4. Prices and payment terms


Users can choose between a monthly subscription or an annual subscription, according to the options indicated in the previous section. Annual subscriptions offer a reduced rate on all paid services. Payment is made via our partner Stripe. The monthly subscription is non-binding and automatically renewed.


Billing policy:


Monthly to Monthly: Upgrade results in a credit applied for the remaining days of the old plan. Downgrade is effective at the end of the current monthly cycle.


Annual to Annual: Upgrade results in a pro-rated credit for the remaining months. Downgrade is effective at the end of the annual period.


Monthly to Annual: The monthly plan is canceled immediately, and the annual plan is billed in full without pro-rata adjustment.


Annual to Monthly: Upgrade means the annual plan is canceled immediately, and the new monthly plan is billed without credit. Downgrade is effective at the end of the current annual cycle.


All prices are displayed in US dollars and are exclusive of any applicable taxes. Users are responsible for any taxes, duties, or levies applicable in their jurisdiction.


Payments are non-refundable, except in the event of an obvious billing error or technical anomaly attributable to OpenUp, and upon reasoned request to [email protected]. Refund requests must be submitted within 14 days of the charge in question.


5. Term and termination


The subscription is non-binding and can be terminated at any time from the user area. Termination takes effect at the end of the current billing period. No pro rata adjustment is applied unless there is a change of plan (see Billing Policy above).


Upon termination, your account will revert to the Free plan. Your links will remain active but you will lose access to paid features. If you wish to permanently delete your account and all associated data, you may request this separately.


OpenUp reserves the right to terminate or suspend any account immediately, without prior notice or refund, in the event of a violation of these T&Cs, suspected fraudulent activity, or any use that poses a risk to the platform, its users, or its reputation.


6. User accounts and security


You need to create an account to use the service. You are responsible for keeping your login details private and for all activity on your account. You should report any suspicious activity to OpenUp right away at [email protected].


You agree not to share your account credentials with third parties, create multiple accounts to circumvent plan limitations, or impersonate any person or entity when creating your account.


OpenUp is not liable for any loss or damage arising from unauthorized access to your account resulting from your failure to protect your credentials.


7. Acceptable use and restrictions


You agree not to use OpenUp for illegal, hateful, or fraudulent content, or content that violates the terms and conditions of third-party platforms (Instagram, TikTok, Facebook, etc.). You also agree not to transmit viruses or malicious code, or exploit technical vulnerabilities via OpenUp.


In addition, you agree not to use the service to create links that redirect to phishing pages, malware, or deceptive content designed to collect personal information under false pretenses. You shall not use OpenUp for spam, mass unsolicited messaging, or any activity that could damage the reputation of the openup.to domain or the OpenUp brand.


You shall not use automated tools, bots, or scripts to create accounts, generate links, or interact with OpenUp services in any way that exceeds normal usage patterns, unless expressly authorized through our API.


In the event of a violation, OpenUp reserves the right to suspend or terminate your account and disable any associated links without notice and without liability.


8. Use of QR codes and deep links


QR codes and smart links generated via OpenUp must not be used for fraudulent purposes, phishing, security circumvention, or redirection to illegal or unauthorized content. OpenUp reserves the right to disable at any time any link or QR code deemed abusive or non-compliant with these Terms and Conditions.


OpenUp does not guarantee that deep links will function on all devices, applications, or platforms, as the behavior of in-app browsers and application URL schemes may change at any time due to decisions made by third-party platform providers (Apple, Google, Meta, etc.).


9. Reservation and modification of custom slugs


OpenUp reserves the right to modify, suspend, or delete any link, slug, or custom identifier chosen by a user when it infringes on a registered trademark, trade name, or intellectual property right, uses the name, pseudonym, or image of a natural or legal person without authorization, is likely to cause confusion with a known entity, company, artist, organization, or institution, or generally contravenes the laws, regulations, or OpenUp's Terms and Conditions.


In such cases, OpenUp may at any time automatically modify the slug concerned or deactivate the associated link, without compensation or prior notice, in order to preserve the rights of third parties and the integrity of the platform.


10. Intellectual property


The website, platform, OpenUp logo, and all graphic or technical elements are the exclusive property of OpenUp. Any unauthorized reproduction, distribution, reverse engineering, decompilation, or use is prohibited.


Any feedback, suggestions, or comments sent to OpenUp may be used freely, without compensation or obligation, for the purpose of improving or promoting the service. Any new features or tools added to the platform will also be subject to these Terms and Conditions.


You retain ownership of the content you link to through OpenUp. However, by using the service, you grant OpenUp a non-exclusive, worldwide, royalty-free license to display, transmit, and process your link data as necessary to provide the service.


11. Personal data


OpenUp only collects data necessary for the operation of the service (email address, link statistics). Payment information is processed exclusively by Stripe. Data is not resold or shared for commercial purposes. GDPR compliance is ensured.


Users can request the deletion of their data at any time via [email protected]. Weekly statistics emails are only sent if the user has enabled this feature. Data (links, statistics, scans, etc.) is kept for a minimum of 365 days, unless explicitly requested to be deleted earlier.


OpenUp reserves the right to transfer or assign all or part of its rights and obligations under these Terms and Conditions to a third party, particularly in the event of a merger, sale, or change of control.

12. Data security and backup


OpenUp implements technical and organizational security measures to protect user data from unauthorized access, loss, or alteration. Regular backups are performed to ensure service continuity. However, OpenUp cannot guarantee absolute security and shall not be liable for breaches resulting from circumstances beyond its reasonable control.


13. Cookies and electronic communications


OpenUp uses cookies to improve the user experience and analyze audience data. By using the platform, you consent to the use of cookies. Users can configure their browser to block or delete cookies.


Communications relating to the service (account notifications, billing alerts, security notices) may be sent electronically. These transactional communications are not marketing and cannot be opted out of while your account is active.


Marketing communications require your explicit consent and can be unsubscribed from at any time.


14. Technical support


Support is available by email at [email protected]. We do our best to respond within 72 business hours. The service is available 24/7 except in cases of maintenance or force majeure.


OpenUp does not provide guaranteed support response times or service level agreements (SLAs) for Free, Plus, or Pro plans. Premium plan users may receive priority support.


15. Liability


OpenUp is a technical solution offered "as is," with no guarantee of results. OpenUp cannot be held liable for any loss of business, revenue, data, customers, or conversion related to the use of the platform.


OpenUp cannot be held responsible for service interruptions due to third parties (e.g., Stripe, social media platforms, hosting providers, app stores). OpenUp is not affiliated with any of the third-party services to which links may redirect. Any reference to third-party brands (Instagram, TikTok, Apple, etc.) is purely descriptive.


OpenUp reserves the right to temporarily interrupt access to all or part of the service for maintenance, updates, or in the event of a technical emergency. Where possible, users will be notified in advance.


In no event shall OpenUp's total aggregate liability exceed the total amount paid by the user during the twelve (12) months preceding the event giving rise to the claim.


16. Force majeure


OpenUp cannot be held liable for failure to fulfill its obligations in the event of force majeure, including but not limited to network failures, fires, wars, pandemics, government actions, cyberattacks, natural disasters, power outages, failures of third-party service providers, or any other event beyond OpenUp's reasonable control.


17. Modification of the T&Cs


OpenUp reserves the right to modify these T&Cs at any time. Users will be notified of changes by email or by message on the platform at least 15 days before the changes take effect. Continued use of the service after notification constitutes acceptance of the new T&Cs.


If a user does not agree with the modified T&Cs, they must stop using the service and cancel their subscription before the effective date of the changes.


18. Indemnification


You agree to indemnify, defend, and hold harmless OpenUp, its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising out of or related to your use of the services, your violation of these T&Cs, your violation of any applicable law, or your violation of any rights of a third party.


19. Severability


If any provision of these T&Cs is deemed invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.


20. Applicable law and disputes


These T&Cs are subject to French law. If any provision of these T&Cs is deemed invalid or unenforceable, the other provisions shall remain in full force and effect.


The fact that OpenUp does not enforce a right or provision of the T&Cs does not constitute a waiver of that right.

In the event of a dispute, exclusive jurisdiction is attributed to the competent French courts, unless otherwise required by mandatory consumer protection laws. For consumers residing in the European Union, you may also submit disputes to the European Commission's Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.


An amicable settlement will be attempted before any legal proceedings. A written complaint must be sent to [email protected] and OpenUp will respond within 30 days.


In the event of translation, only the English version of these T&Cs shall be deemed authentic in the event of a dispute.
